Section XIX: Certificate Representing Relationship between Applicant

and Owners of Demand Response Resource(s)


In accordance with the terms of the Open Access Transmission, Energy and Operating Reserve Markets Tariff (“Tariff”) of the Midcontinent Independent System Operator, Inc. (“MISO”) and pursuant to Applicable Laws and Regulations, [Applicant Name] (“Applicant”) hereby certifies the following as a condition precedent to being permitted to become a Market Participant, as that term is defined under the Tariff:

1. Applicant owns Demand Response Resource-Type I and/or Demand Response Resource-Type II asset(s) (collectively referred to as “DRR”) commonly referred to as [DRR Name(s)] (“DRR Asset(s)”) located at the following address:

2. Applicant has a legal relationship between itself and [DRR Owner Name], the entity that owns or holds rights equivalent to ownership (“DRR Owner(s)”) of the Demand Response Resource-Type I and/or Demand Response Resource-Type II Asset(s) (collectively referred to as “DRR”) commonly referred to as [DRR Name(s)] (“DRR Asset(s)”) located at the following address:

3. In accordance with the terms of this relationship, Applicant is authorized to utilize the DRR Asset(s) for the purpose of supporting DRR Type-I or DRR Type-I Offers in the Energy and Operating Reserve Markets operated by MISO, and

4. Applicant is the only entity so authorized.

Applicant acknowledges that it is subject to the applicable indemnification provisions of the Tariff.

Further, Applicant agrees to fully indemnify MISO and its successors and/or assigns against any adverse consequences or damages arising from the conduct of any of the following entities or persons: (a) the Applicant, (b) the Applicant’s employees, contractors, agents, and the like, (c) the DRR Owner, and (d) the DRR Owner’s employees, contractors, agents, or the like. Such indemnity shall extend to any and all adverse consequences or damages regardless of whether the actions, or lack thereof, giving rise to such adverse consequences or damages was the result of deliberate acts, malice, recklessness, or negligence.
