On the basis of Article 44, paragraph 2, of the Constitution of the Republic of Serbia (The Official Gazette RS Nr. 83/2006), and Articles 1, 4, 6 (paragraph 2, 3 and 9) related to Articles 10 and 14 of the Law on Churches and Religious Communities (The Official Gazette RS Nr. 36/2006), the Assembly of the Federation of Jewish Communities of Serbia, at its session held on 24 June 2007, is adopting the following
ARTICLES OF ASSOCIATION
of the Federation of Jewish Communities of Serbia
Article 1
The founders of the Federation of Jewish Communities of Serbia are the Jewish communities Belgrade, Novi Sad, Subotica, Zrenjanin, Zemun, Pančevo, Sombor, Kikinda, Niš, and Priština with the seat in Belgrade (hereinafter: the founders), who are the successors of continuity of legal subjectivity of the Jewish community acquired on the basis of the Law on the Religious Community of Jews in the Kingdom of Yugoslavia (The Official Gazette of KY Nr. 301/1929).
The founders of the Federation of Jewish Communities of Serbia have the capacity of legal entities according to the provisions of the Law on Churches and Religious Communities and they perform their principal activity in their respective territory which includes the territory of the administrative municipality and the administrative areas of extinct Jewish communities whose legal successors they are, specifically: JC Belgrade for the administrative areas of municipalities Belgrade, Novi Pazar, Šabac, Smederevo, Požarevac and Kragujevac, JC Niš for the administrative areas of municipalities Niš, Leskovac and Pirot, JC Novi Sad for the administrative areas of municipalities Novi Sad, Bačka Palanka, the towns of Kula, Temerin, Titel, Vrbas, Bečej, Šid, Inđija, Sremska Mitrovica, Ruma, Bač, Bački Petrovac, Irig, Beočin, Žabalj, Srbobran, and Sremski Karlovci, JC Subotica for the administrative areas of municipalities Subotica, Ada, Senta, Kanjiža, Bačka Topola and Mali Iđoš, JC Zrenjanin for the administrative areas of municipalities Zrenjanin and Novi Bečej, JC Zemun for the administrative areas of municipalities Zemun and Stara Pazova, JC Pančevo for the administrative areas of municipalities Pančevo, Plandište, Alibunar, Kovačica, Opovo, Kovin, Bela crkva and Vršac, JC Sombor for the administrative areas of municipalities Sombor, Odžaci, Apatin and Kula, JC Kikinda for the administrative areas of municipalities Kikinda and Novi Kneževac, and JC Priština for the administrative areas of municipalities Priština and Kosovska Mitrovica.
INTORDUCTORY PROVISIONS
Article 2
The Federation of Jewish Communities of Serbia (hereinafter: the Federation) is a joint body of founders and represents the Jewish community of Serbia in the country and abroad.
The management bodies of the Federation are the supreme bodies of the Jewish religious and national community in Serbia.
The municipalities may also establish and maintain direct relations with the authorities of the Republic of Serbia, and with other authorities and organizations in the country and abroad.
Article 3
The principal goals of the Federation include:
preservation and cherishing of the tradition and habits of the Jewish people,
preservation of the Jewish national identity,
initiating and promoting activities in the field of Jewish culture and education,
creating conditions for learning and practicing of the Jewish faith for all members,
active work in the field of education of children and youth in the “Heder” and “Talmud Tora” in compliance with the fundamental principles of Jewish religion and tradition,
“cedaka” or humanitarian work and social activity based on the principles of Jewish solidarity,
suppressing the assimilation of the Jewish community while respecting the religious, national, and ethnic rights, traditions and cultures of other peoples,
suppressing anti-Semitism, racial intolerance, and any form of hatred and discrimination, and violation of fundamental human rights and freedoms,
preserving the remembrance of the Holocaust,
maintaining special ties with Jewish communities from the neighboring countries, with the association of Jews from former Yugoslavia in Israel, with the state of Israel and other parts of the Jewish people around the world,
cooperation with national and international Jewish and other religious, national and humanitarian organizations.
The Federation works towards achieving its goals through the bodies of the Federation or in cooperation with its founders.
Article 4
The Federation has the capacity of a legal entity.
The registered address of the Federation is in Belgrade, Kralja Petra I 71a.
The Federation has a seal of circular form with inscription along its internal perimeter stating the words Federation of Jewish Communities of Serbia in the Serbian, Hebrew and English languages, and with the Magen David in the middle.
Article 5
Newly established Jewish communities in Serbia may become members of the Federation, and the decision on such membership is adopted by the Assembly at the proposal of the Executive Board of the Federation.
Other Jewish organizations with registered seats in Serbia may also become members of the Federation, and the decision on such membership is adopted by the Assembly at the proposal of the Executive Board of the Federation, provided that there is a previous approval of the Jewish community in whose territory the applicant for membership is located. Relations between the Federation and the newly affiliated Jewish organization shall be subject to a separate agreement.
Jewish communities and Jewish organizations who submit a request for association or affiliation shall at the same time submit a statement accepting the provisions of these Articles of Association and other prevailing general documents relevant to the relations between the founders and the Federation.
Article 6
Founders may cease membership in the Federation.
In case of ceasing membership, the relations between the leaving and other founders and between the leaving founder and the Federation shall be subject to a separate agreement which shall include, specifically, provisions regarding the time of ending of the capacity of founder, financial obligations between the leaving and other founders and between the leaving founder and the Federation (calculations, claims and obligations), undertaken obligations and guarantees to national and international donors or creditors as well as obligations, guarantees and agreements regarding the manner of use of property that is available to the leaving founder after the restitution of seized Jewish property in the territory in which it is the legal successor.
On behalf of the Federation, such an agreement is signed by the Assembly of the Federation.
Article 7
The founders of the Federation are equal in the exercise of their rights and obligations within the Federation.
MANAGEMENT BODIES OF THE FEDERATION
Article 8
The management bodies of the Federation include:
The Assembly
The Executive Board
The Supervisory Board
The President
The term in office of all the management bodies shall last for four years.
Article 9
Any member of the Jewish community who is of age may be elected a member of management bodies or a holder of a post who, according to the rules of the founder whose member he/she is has an active or passive voting right, except as otherwise provided for in these Articles of Association.
Article 10
Members of management bodies or holders of posts can not be officials of political parties or persons who are candidates included in or withdrawing from the election lists of political parties and persons employed in the administration of the Federation and its founders.
Members of management bodies or holders of posts can not be persons who are directly or indirectly employed by the Federation or its founders, if the founders are owners of co-owners of enterprises of entrepreneurial shops or have any direct of indirect interest in such entities in any way that could be considered to represent a conflict of interest.
THE ASSEMBLY OF THE FEDERATION
Article 11
The Assembly of the Federation consists of delegates from all founders.
The number of delegates of each founder and the manner of election is to be identified by the Executive Board in compliance with the following criteria:
one delegate for each 100 members and each started 100 members for the first 100 to 600 members,
one delegate for each started 200 members from 601 to 1200 members,
one delegate for each started 300 members above 1200 members.
The number of delegates is determined on the basis of records of paid membership for the preceding year.
Article 12
The regular meetings of the Assembly of the Federation shall be convened in writing by the Executive Board at least 30 days prior to the date of its sitting.
The invitation shall state the proposed agenda with written materials as justification.
The regular meetings of the Assembly shall be convened once a year, and once in four year the regular Assembly is at the same time the election Assembly.
Article 13
The extraordinary meeting of the Assembly shall be convened by the Executive Board on the basis of its decision, or on the basis of request by at least two founders and the justified request of the Supervisory Board of the Federation.
The invitation for the extraordinary meeting of the Assembly shall be sent in writing stating the proposed agenda with written materials as justification, not later than 10 days prior to the scheduled date.
If the Executive Board does not convene the session within 15 days of the date when the request was submitted, the extraordinary assembly meetingcan be convened by the requesting party.
Article 14
Apart from delegates stated in Article 11 of the Articles of Association, the meeting of the Assembly shall be attended by members of the Executive Board, Supervisory Board, President and Deputy President, who are, ex-officio, delegates participating in the work of the Assembly, provided that they are not allowed to vote regarding the appointment, dismissal and discharge of the members of the Executive Board, Supervisory Board and President and Deputy President.
Article 15
The Assembly works in open public session.
In exceptional cases, the Assembly may decide to hold the Assembly meeting or a part thereof as a closed session.
Article 16
The Assembly shall have the following competencies:
to take into consideration the mutual elements for annual programs and activities,
to take into consideration the annual report of the work of the Executive Board, the Supervisory Board, the President, founders and associated members,
to adopt the budget and annual financial statements of the Federation including the balance statements on the basis of the opinion of founders submitted in advance,
to harmonize the principles and the general policy of the Federation as a religious and ethnic organization,
to identify the minimum criteria for membership in a Jewish community or for membership in the Federation of Jewish Communities of Serbia,
to elect, dismiss and discharge of duty members of the Executive Board, Supervisory Board and President and Deputy President,
to replace members of the Executive Board, Supervisory Board and President and Deputy President who are not active and do not demonstrate responsibility in their work,
to provide an opinion on membership of the Federation in international Jewish organizations,
to decide on association of new communities as members of the federation on the basis of opinion of founders which is to be provided in advance,
to adopt, amend, make additions to and interpret the Articles of Association,
to make a final decision, based on decisions by founder, regarding the end of work of the Federation.
To make decisions regarding any other issues which are not within the competencies of other management bodies of the Federation.
Article 17
The work of the Assembly is managed by the working presidency consisting of three members who are elected among the attending members. Minutes are recorded during the assembly meeting and verified by the presidency within 20 days of the date of the assembly meeting.
The minutes shall be submitted to the delegates and founders not later than 10 days of the date of verification.
Article 18
The Assembly decides by a majority of votes of all attending elected delegates.
The decisions of the Assembly shall be valid if the work of the Assembly is attended by more than one half of elected delegates.
The decisions are made by public or secret voting. The decision regarding the manner of voting is made by the Assembly at its session.
THE EXECUTIVE BOARD
Article 19
The Executive Board shall consist of the following members:
ex officio, the Presidents of Jewish communities elected by founders,
the President and Deputy President of the Federation elected by the Assembly of the Federation,
three representatives from the founding communities of Belgrade, Novi Sad and Subotica who, at the proposal of their original communities, are elected by the Assembly of the Federation.
In cases when members of the Executive Board, who are members ex officio, are prevented from attending, they are to be replaced by deputy presidents or a person authorized in writing by the respective community to do so.
Article 20
The term in office of members of the Executive Board shall begin and end at the same time as the term in office of members of the Supervisory Board and the President of the Federation.
Article 21
The sessions of the Executive Board are open session. The Executive Board may decide that specific sessions or parts thereof shall be closed to the public.
Sessions of the Executive Board may be attended by honorary members who, by separate decisions, are nominated by the Executive Board from the ranks of long-time activists in communities and management bodies of the Federation and from the ranks of distinguished Jewish public or cultural workers.
Article 22
The sessions of the Executive Board are chaired by the President of the Federation and, in cases when the President is prevented from doing so, by the Deputy President of the Federation or, in cases that the President is permanently prevented and the Deputy is absent, by the person selected for this purpose by the members at the session itself.
Article 23
Decisions at the Executive Board are made by majority of votes of the attending members. The Executive Board can make valid decisions if more than half of the members are attending.
The Executive Board makes its decision by public or secret voting. The decision regarding the manner of voting shall be made by the Executive Board at the session itself.
For sessions of the Executive Board minutes are recorded and such minutes are to be sent to members of the Executive Board within seven days of the date of the session. The minutes shall be signed by the recording person and the person who chaired the session.
Article 24
The President of the Federation of Jewish Communities of Serbia convenes sessions of the Executive Board according to Article 21 of these Articles of Association.
A session of the Executive Board may also be convened on the basis of:
- request by six members of the Executive Board,
- request of the Supervisory Board,
- request of one founder.
The President of the Federation shall convene the session within 15 days of receipt of the request and, after the expiration of this period, the session shall be convened by the requesting entity.
Article 25
The competencies of the Executive Board include:
making decisions on all current issues of the federation which are not within the exclusive competencies of the Assembly,
nominates those in charge of projects and coordinates the work with the Federation and management and working bodies of founders,
adopts general documents regarding the internal organization and operations of the Federation,
establishes, dismisses and determines the organization of work of the Federation and procedures of institutions of the Federation,
proposes the budget to the Assembly and provides the financial statements of the Federation on the basis of opinions of founders provided in advance,
determines and implements operational principles for joint annual and multi-annual programs and activities of founders,
determines the permanent and provisional working and coordinating bodies and determines their scope of work,
establishes, dismisses and determines the organization of work of the administration of the Federation and is the employer of staff employed in the Federation,
proposes membership of a new Jewish community or Jewish organization and submits the proposal to the Assembly of the Federation for adoption,
makes decisions regarding the award of awards by the Federation, except for inscription in the Golden Book of the KKL,
nominates persons who shall participate in the work of international Jewish organizations or who shall be elected to the management of such organizations in cases when members of management in such organizations are appointed by invitation,
appoints honorary members of the Executive Board,
in extraordinary circumstances, and for reasons of urgency, after consulting with founders, decides on issues of principles from within the competencies of the Assembly, and such decisions are subsequently approved by the Assembly,
cooperates directly with other state authorities, religious and social organizations in the country, with all Jewish organizations abroad and with the state of Israel,
performs material and financial operations and manages appropriated assets,
determines the amount of membership fees for founders and associated members.
THE OPERATIVE BOARD
Article 26
The Operative Board is the standing body of the Executive Board. It consists of the President of the Federation, Deputy President, presidents of founding communities of Belgrade, Novi Sad and Subotica, and one rotating representative of other smaller communities.
The Operative Board meets once a month, or as needed, and makes conclusions on all issues relevant to preparations for and proposals of decisions from within the scope of work of the Executive Board.
Any conclusions which can not be arrived at unanimously are transferred to the Executive Board for further consideration and decision.
SUPERVISORY BOARD
Article 27
The Supervisory Board consists of five members, elected by the Assembly of the Federation for a period of office of four years.
Members of the Supervisory Board shall come from different founders.
The President of the Supervisory Board is elected by the members of the Supervisory Board.
A member of the Supervisory Board can not at the same time be elected to other management bodies of the Federation or of the founders.
Article 28
The Supervisory Board makes decisions by majority vote of all the members.
At the sessions of the Supervisory Board minutes shall be recorded.
The minutes are signed by all the attending members and then submitted to other members of the Supervisory Board and to the President of the Assembly.
Article 29
The Supervisory Board supervises and controls the overall financial and material operations of the Federation and is entitled to insight in all documents of the Federation related to the financial and material operations of the.
The Supervisory Board supervises and controls the overall financial and material operations of the founding members and associated organizations in terms of using the funds for ear-marked purposes for funds which the founders and associated members receive through the Federation.
The Supervisory Board performs the control on quarterly basis.
In cases when the Supervisory Board determines any irregularity, it shall report it to the Executive Board and shall propose the deadline for removal of such irregularity.
Should the Executive Board fail to remove the irregularity, the Supervisory Board may convene a session of the Assembly and request the Assembly to make the final decision regarding the disagreements between the Executive Board and the Supervisory Board.
Article 30
The Supervisory Board shall submit its annual report to the founding members and the Assembly of the Federation.
The Supervisory Board may, at any time, submit its comments and specific proposals to the Executive Board.
Members of the Supervisory Board may attend any session of the Executive Board when invited or of their own initiative.
PRESIDENT OF THE FEDERATION
Article 31
The President of the Federation represents the federation in relations with third parties in the country and abroad.
The President of the Federation is accountable for the legality of operations of the Federation.
The President of the Federation, together with the deputy president of the Federation, takes care of implementation of decisions by all management bodies of the federation, coordinates the work of bodies and institutions of the Federation, and performs other tasks pursuant tot eh Articles of Association or tasks which, in urgent circumstances, are entrusted to him by the Executive Board or the Assembly of the Federation.
The President of the Federation, in cases when he is prevented, or at his orders, can be replaced by the Deputy President, and in cases when he is prevented, by a member of the Executive Board that he shall nominate.
For his work, the President of the Federation is accountable to the Assembly of the Federation, to whom he reports on his work.
Article 32
The President of the Federation and the Deputy President shall be elected for a term in office of four years.
During one term in office, the President of the Federation and the Deputy President shall come from different founding members.
The President of the Federation can not at the same time be elected to other management bodies of founding members or of the Federation.
The provisions regarding the conflict of interest from Article 10 of these Articles of Association refer also to the President of the Federation.
Article 33
The President of the Federation executes the decisions made by the Assembly and represents the Federation on all issues that do not fall within the competencies of other management bodies of the Federation, he participates in the work of all provisional and permanent working bodies.
The President of the Federation represents the Federation in the Council for National Minorities.
Article 34
The President of the Federation is elected by the election assembly by secret vote.
At the election assembly, the delegates decide based on a ballot including at least two candidates.
At the time of filing the candidacy, the candidate shall enclose his work program or the term in office for which the elections are held. Candidates not enclosing their program of work shall not be accepted.
The work programs by candidates shall be submitted to founding members at the latest 15 days prior to the elections date.
The Assembly shall determine the elections list at the elections assembly meeting.
The elections are conducted by a three member committee from among he delegates present at the Assembly.
The candidate who receives the majority of the total number of votes of those attending the Assembly meeting shall be elected.
If two candidates win the same number of votes, the voting is repeated and, if the voting result is the same again the elections Assembly is postponed, and the voting is repeated not later than within the next 15 days.
If the election list has only one candidate, he shall be considered to be elected if he receives at least 50 percent plus one vote of the total number of delegates with a voting right.
The Deputy President of the Federation and three representatives of founding communities Belgrade, Novi Sad and Subotica are elected under a procedure which is the same as for the President, except the obligation to submit a work program.
THE WORKING BODIES AND INSTITUTIONS OF THE FEDERATION
Article 35
The Executive board of the federation may, if necessary, establish standing and temporary commissions, advisory and coordinating bodies, which operate in compliance with the decisions of the Executive Board and report to it for their work.
Members of such working bodies may include members of the Executive Board and other active Jewish public and cultural workers.
Article 36
In order to achieve the goals of the Articles of Associations, the Federation publishes a monthly Bulletin of the Federation – the Jewish Review, in the Serbian language.
In order to provide prompt information to members, the Federation may have other printed or electronic means of information.
The Executive Board of the Federation acts as the publishing council which shall consist, according to the decision by the Executive Board, of prominent Jewish public and cultural workers.
The main editor in charge of the Bulletin or of other printed or electronic means of information are appointed by the Executive Board of the Federation.
The institution of the Federation is the Jewish Historical Museum. The Executive Board of the Federation acts as the management body of the Museum, and this body, according to the decision by the Executive Board, of prominent Jewish public and cultural workers.
The Manager of the Museum is appointed, dismissed and discharged off duty by the Executive Board of the Federation.
The Federation may publish other magazines, books and publications in the Serbian and other languages in order to achieve its goals, in compliance with the law.
ADMINISTRATION OF THE FEDERATION
Article 37
The posts of the administration of the Federation are determined by the decision on internal organization.
In order to perform the professional and administrative tasks, the Federation may engage the necessary number of staff based on labor contracts for work within the services, or such tasks may be outsourced to a certified organization or technical services of one of the founding members.
If the tasks relevant to the administration and institutions of the Federation are performed through a technical service, the relevant decisions regarding the number of staff required, their selection and recruitment, appointment and dismissal shall be according to decisions made by the Executive Board.
In view of his work, the Secretary shall report to the Executive Board and the President.
Article 38
In order to meet the religious needs of its members, the federation engages a Rabbi with a registered seat in Belgrade, who performs his duty in as balanced a way as possible in all the Jewish communities.
ASSETS OF THE FEDERATION AND THEIR DISTRIBUTION
Article 39
The assets of the Federation are the assets of the Jewish community of Serbia and consist of movable and immovable property and rights.
The Federation manages the assets in compliance with the law and these Articles of Association. Decisions regarding the disposal of assets of the Federation shall be made by the Assembly.
In case of any Jewish community – founding members ceasing to operate, its assets shall be transferred to the geographically closest Jewish community – founding member as its legal successor.
In case of any associated member ceasing to operate, its assets shall that were entrusted for management to the Federation, shall be returned to the founders of such Jewish organization together with the relevant stakes and profits after deduction of actual expenditures for handling and management.
RELATIONS BETWEEN THE FEDERATION AND FOUNDING MEMBERS
Article 40
Founders, members of the Federation, are independent in their work and decision-making, provided that they cooperate and pursue joint interests through the Federation.
The Federation represents the Jewish community and it is obliged to take due care of the interests of its founders.
In order to achieve the fundamental goals of these Articles of Association, the Federation may accept donations from the country and abroad.
TRANSITORY AND FINAL PROVISIONS
Article 41
Any interpretation of the meaning of these Articles of Association shall be the responsibility of the Assembly of the Federation.
In circumstances of urgency, contentious provisions of these Articles of Association shall be applied on provisional basis, as interpreted by the Executive Board, until the Assembly makes its decision regarding interpretation.
Article 42
By the coming into effect of these Articles of Association, the Articles of Association of the Federation of Jewish Communities of Serbia and Montenegro adopted by the Assembly of the Federation on 25 January 2004, shall cease to be in effect.
Article 43
These Articles of Association shall come into effect as of 2 July 2007, which is eight days after publication.
