Annual General Meeting of KSB Aktiengesellschaft

FRANKENTHAL: KSB can look back on a successful financial year 2012 “despite some difficulties in the market”, Dr Wolfgang Schmitt, Chairman of the Board of Management, highlighted at the KSB Annual General Meeting in Frankenthal on 16 May. He reported that the KSB Group generated record sales revenue of € 2,091 million (+ 7.8 percent) and consolidated earnings before taxes of € 120.5 million, with a 5.8 percent return on sales.

In addition, Dr Schmitt explained that the KSB Group has made headway in the implementation of its global strategy, citing as examples the establishment of new sales companies in Europe and the Americas, the start-up up of a valves production facility in Asia and the acquisition of a South Korean manufacturer of remote monitoring and control systems.

Against the background of the Group strategy currently extending up to 2018, the Chairman of the Board held out the prospect of a continuation of the “KSB success story”. However, he continued, 2012 is not expected to be a “year of jubilation” for the industry. But with a 9.4 percent increase in order intake and sales revenue growth of 12.5 percent KSB showed a “markedly positive development” in the first four months of this year. In 2012, sales revenue growth is expected to outpace order intake growth. KSB aims to improve consolidated earnings before taxes to € 135 million.

Against the background of the 2011 earnings situation, the Annual General Meeting resolved to pay out dividends at prior-year level for the past financial year, i.e. € 12.00 per ordinary share and € 12.26 per preference share.

The shareholders also resolved to elect Dr Thomas Seeberg, former Managing Director of OSRAM GmbH, to the Supervisory Board. He succeeds Richard Lederer who retired from the Supervisory Board for age reasons after nine years of uninterrupted service on this Board. The AGM re-elected Dr.-Ing. Hermann Nestler and Werner Stegmüller to the Supervisory Board.

KSB is a leading international manufacturer of pumps, valves and related systems. The Group, which employs almost 16,000 people, has a presence on all continents with its own sales and marketing companies, manufacturing facilities and service operations.
