ODELL RECREATION SPORTS ASSOCIATION


Article I: ORGANIZATION


Section 1:

The organization shall be known as the “ODELL RECREATION SPORTS ASSOCIATION” hereafter referred to as the “Association”. The place the principal office of the Association is to be located is the City of Concord, Cabarrus County.


Section 2:

The Association shall be organized by the Board of Directors (the “Board”) is organized exclusively for charitable and educational purposes, including for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501 (C)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code.


The Association functions as a non-profit group organized for the purpose of enabling youth athletic programs for the Odell, Cox Mill, Winkler Middle, Harris Road, Weddington Elementary, Robinson Middle School and Northwest Cabarrus School districts, including but not limited to the above schools.


The association shall be organized and function in a non-discriminatory manner, with safety and good sportsmanship being of paramount concern. The association will be dependent on contributions of time and money of the parents, guardians, and citizens of the community organized with the common goal of providing instructional athletics, promoting citizenship and pride in the community.


Article II: MEMBERSHIP


Section 1:

Youth Membership is offered to all school age (5yrs -16yrs) residents of Cabarrus County, including but not limited to the school districts of Odell, Harris Road, Cox Mill, Weddington Elementary, Winkler Middle, Robinson Middle School & Northwest Cabarrus. A scholarship or sponsoring adult is required.


Section 2:

As sponsoring adult is defined as: (1) a parent or legal guardian of a youth as defined in Article II, Section I, who supports the Association through the payment of usual and customary fees for youth participation and may also perform other duties such as

coaching, scorekeeping, staffing concession stands, fund raising or other such functions as may be necessary for the development and advancement of the goals determined by the Association and its Board. (2) An individual or business who donates money or property (uniforms, equipment etc.)




Section 3:

Voting membership: Voting at the annual meeting shall be limited to those individuals who qualify as a Sponsoring Adult, with each Sponsoring Adult being entitled to one vote on each matter submitted to a vote of the members.


Section 4:

No member shall receive a dividend or anything else of real value by reason of such membership. No monetary funds of the Association shall be used any member for personal benefit. Use of Association funds by Board members for personal benefit shall be subject to prosecution under the criminal statutes of the State of North Carolina. Board members shall be reimbursed for goods and equipment purchased on behalf

of the Association upon presentation of receipts for same. Board members will not be reimbursed for personal services.


Section 5:

The Board is authorized and empowered to suspend or revoke membership privileges of any youth member, voting member, board member, or sponsor member for failure to maintain good moral character, or failure to observe established rules of behavior and sportsmanlike conduct while participating in any activity sponsored by the Association. Suspension shall be for such period as to be determined by the Board, consistent with the established policy of the Cabarrus County Parks & Recreation Department. Suspension or revocation requires 2/3 vote of the 15 member Board.


ARTICLE III: MEETING OF MEMBERS


Section 1:

Annual Meeting: The annual meeting of the Association members shall be held on the first Sunday in November of each calendar year at 2:00 pm Eastern Standard Time for the purpose of electing Board members for the following calendar year, for presentation of the prior years independent financial audit and for the transaction of such other business as may come before the Board.


Section 2:

Place of Meeting: The Board may designate any place within the geographic area of the Association for the annual meeting or any other meeting called for by the Board.


Section 3:

Notice of Meetings: The Voting Membership shall be properly notified if at least fourteen (14) days before the meeting, the following is done:

  1. Post the meeting information on Odell Rec’s website www.odellsports.com .

  2. Email the meeting information to all those who have registered their email address with the Association’s Secretary. The email should list the date, time and place of meeting.


Section 4:

Manner of Acting: A majority of those voting in person of the voting membership shall decide any issue that may presented during the annual meeting.

Section 5:

Annual Meeting Agenda: Shall include: (1.) Proof that voting membership has been notified, (2) Annual report of officers and committees, including an annual financial report, (3) election of members of the Board for the following calendar year (4) any new or unfinished business (5) adjournment.


ARTICLE IV: BOARD OF DIRECTORS


Section 1:

Number, Term, and Election: The Board of Directors shall consist of a maximum of fifteen (15) members and shall be elected at the annual meeting of the association as outlined in Article III. Each sponsoring adult shall receive fifteen (15) votes to be cast

silently, casting no more than one vote per nominee. The fifteen (15) candidates with the highest vote totals shall be elected. In case of a tie, a runoff for-the remaining position(s) shall be held for those nominees tied. Voting members are entitled to number of votes equal to the number of positions yet to be decided.


Example: A two-way tie for one position, voting membership is entitled to one vote. If the above results in a tie, those new directors already elected shall select the remaining directors. The term of the Board shall commence on the first day of January of the calendar year following the election. The term of the elected Board shall be one calendar year.


Section 2:

Meeting of the Newly Elected Board: Shall be held immediately following the annual meeting of the Voting Membership The newly elected Board shall elect the officers of the Association effective January 1 of the following year. Officers elected shall be President, Vice-President, Secretary, and Treasurer.


Section 3:

The Board shall schedule a minimum of four (4) Board meetings annually, at a location, date, and time as established by the Board. The President may call a special meeting of the Board at any time. Any four (4) Board members/Directors or two (2) officers may call for a full Board meeting provided the other Board members are properly notified at least one (1) week prior to the special meeting date, except for emergencies when notification shall be reasonable.


Section 4:

Quorum: A majority of the Board, eight (8) members, shall constitute a quorum for the transaction of business at any meeting of the Board. The actions taken by the majority of members attending; shall be the act of the Board.


Section 5:

The Board shall make rules and regulations for the use of the facilities utilized by the Association, which shall be consistent with the rules of the Cabarrus County Parks and Recreation Department and Cabarrus County School Board.


Section 6:

The Board must vote to authorize the expenditure of any Association funds that exceed three hundred dollars ($300) per single purchase, or for any contract which may result in the obligation to pay more than three hundred doI1ars ($300). The President and Vice President must authorize all expenditures below three hundred ($300) not related to an individual sport budget.


Section 7:

The Board shall have authority to appoint such committees as are necessary to carry out the programs of the Association.


Section 8:

The Board shall have the authority to hire and dismiss those who contribute goods and services to the Association.


Section 9:

Any vacancy occurring on the Board of Directors shall be filled by the remaining members of the Board and the election shall be for the unexpired term only.


Section 10:

No Board member or Director shall receive a dividend or anything of real value by reason of such membership and no monetary funds of the Association shall be used by any Board member or Director for the benefit of any other Board member or Director. Any Board member or Director found to be using monetary funds for personal benefit shall be subject to prosecution under the criminal statutes of the State of North Carolina.


Section 11:

Except as specifically prohibited by the general statutes of the State of North Carolina or by written and communicated rules or Regulations of Cabarrus County Parks and Recreation, the Board shall have the authority to perform any act or restrict participation or impose suspensions or establish such other rules and regulations

as it deems necessary to accomplish the goals as set forth in Article I and elsewhere.


Section 12:

A Board member Director shall without further action, automatically forfeit such position, if at any time commencing with the third meeting of the Board after the Board commences its term in January of each year, he or she shall have attended less than two-thirds of the Board Meetings. Thereafter, the former Board member or director shall be eligible for reappointment to that vacancy.







Article V: Officers


Section 1:

The officers of the Association shall be a President, Vice-President, Secretary, and Treasurer, who shall be elected by the Board of Directors for one year and shall hold office until death, resignation, disqualification, or their successors are elected and qualify for the office.


Section 2:

The duties of the President shall be to preside at all meetings of the Association, generally supervise the affairs of the Association, co-sign all contracts and other instruments of the Association, including financial accounts, make reports to the Board and voting members, and perform all other duties as are incident to the office or are

properly required by the Board. In the absence of the President, the Vice-President shall exercise all the President's duties.


Section 3:

The duties of the Vice-President shall be to assist the President in the performance of the President's duties, and to perform the President duties in his absence. The Vice-President shall assume any other duties assigned by the Board.


Section 4:

The duties of the Secretary shall be to issue notices for all meetings of the Board and meetings of the voting membership, to take written minutes of Board meetings and meetings of the voting membership, to make reports and perform other duties incident to the office, including written notification of annual meetings, and to give written or verbal notification to Directors of Board meetings. The Secretary shall assume any other duties assigned by the Board.


Section 5:

The duties of the Treasurer shall be to have custody of all funds and securities of the Association, and deposit the same in the name of the Association in such bank or banks as Board may elect; co-sign all checks, drafts, notes, and orders for payment of money. All checks received from voting members or contributors shall be stamped with an

Association stamp which shall read: "FOR DEPOSIT ONLY TO THE ACCOUNT OF THE ODELL RECREATION SPORTS ASSOCIATION". The check shall then be deposited into the bank account of the Association and the Treasurer shall maintain a copy of

the bank teller deposit receipt for the Association's records. In the absence of the Treasurer, the President can stamp and deposit funds and will promptly turn over deposit receipts to the Treasurer. The Treasurer will, upon request, present the Association's financial accounts to any member of the Board of Directors or voting member of the Association during reasonable hours. The Treasurer will report on the status of the income and expenses and the overall financial condition of the Association to the Board monthly, in writing.





ARTICLE VI: MEMBERSHIP FEES AND DUES


Section 1:

Membership fees for youths shall be established by the Board within the guidelines of the fees established by the Cabarrus County Parks and Recreation Department. Each youth participating in each sport activity shall be required to pay the membership fee for that sport activity, payment due upon registration. No child will be denied the privilege of participation due to financial hardship. Each year a minimum of five (5) scholarships will be awarded to youth wishing to participate in the Association’s sports programs.


Section 2:

The Board shall establish fees for team and general sponsorship. Uniforms shall be purchased by and provided to each team by the Board. Uniforms within each age division of a sport shall be of similar style and quality subject to necessary variations due to replacement of damaged goods, size shortages, and periodic style and fabric changes which may be phased in. No other uniforms or uniform embellishments (such as patches, sponsor identification) shall be permitted without Board approval.


Section 3:

The obligation of each sponsoring adult, shall at the reasonable discretion of the Board, include active participation in one of the several committees created by the Board to assist the Association.


Section 4:

Failure to pay the established membership fee or to participate in a committee as set forth above shall be cause to suspend membership of both youth member and sponsoring adult.


ARTICLE VII: COMPENSATION

All members, including but not limited to officers, directors, coaches, and sponsoring adults, shall serve the Association without compensation.


ARTICLE VIII: DISSOLUTION

The Association may dissolve itself only by the voting membership at an annual meeting or at a special meeting called by the Board of Directors for the specific purpose of dissolution; with notice thereof clearly stating that purpose. In the event of dissolution, any assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or shall be distributed to the federal government, or to state or local government, for a public purpose. Any such assets not so disposed of shall be disposed of by a Court of Competent Jurisdiction of the county in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.


ARTICLE IX: AMENDMENTS

These by-laws may be amended or revoked at the annual meeting in November or at a special meeting of the Board called for that express purpose. If amended or revoked at

the annual meeting in November, no specific mention of such need be included in the notice. If amended or revoked at a special meeting, general notice of the intent (without necessarily specifying the particular amendment or revocation) shall be a part of the notice of the meeting. No proposed amendment or revocation may be considered unless both the affected provisions of the by-laws are identified in writing and a proposed written draft of the new language is provided to an officer of the Association at least thirty (30) days before the meeting at which the proposal is to be considered. The proposal cannot be adopted unless substantially as submitted.
