Have agreed on the following:

Article 1: Preamble

This contract covers the purchase of a 2007 Land Rover Defender110. Should the Buyer fail to comply with the provisions and fulfilment of the contract, in part or in whole, the seller reserves the right to cancel the present contract. The seller will notify the cancellation in writing, with immediate effect.


Article 2: Coming into force of this contract

The contract will come into force on the date of the signature of the contract by the Buyer.

Article 5: Specification and quality

The buyer accepts the vehicle through the signature of this contract, meaning that any repairs and failures will not be any more the responsibility of the seller after the said signature has been affixed. It is the responsibility of the buyer to make all the previous checking and controls before the acceptance of the equipment through the signature of this contract.


Article 5: Delivery place and date

The vehicle will be made available on ___________date in the Montserrat Red Cross Offices, Brades

Montserat

The Buyer will be responsible for all costs of onward transfer from Brades.


Article 6: Documents to be provided by the Seller

The Seller will provide the Buyer with an invoice of sale and a receipt for payment.



Article 7: Payment mode

Payment will be made within 1 week after signing of the contract of sale by the Buyer and Seller, and upon receipt of a formal written invoice from the Seller. The Buyer will pay by bank transfer/cheque/cash (delete as appropriate), the full amount mentioned in the Article 4 of the present contract.


Article 8: Special clause on registration, insurance and taxes

Any registration obligation coming from the nature of the equipment is the sole responsibility of the Buyer. The registration must be changed to the name of the Buyer.


If the equipment has to be insured, it will be the responsibility of the Buyer from the moment the property of the equipment is transferred.


Where possible, MRC will inform the Buyer of any known taxes/duties that must be paid upon handover of the goods but ultimately, all applicable taxes and duties (if any) and expenses related to handover of goods are entirely the responsibility of the Buyer.


Article 9: General liabilities

On transferring the good to the Buyer, the Seller also transfers all future liabilities related to the item. In particular, the Seller declines all responsibility in case of accident, theft or any other incident.


Article 10: Force majeure

The contract will be cancelled if delivery is not possible due to force majeure.




Article 11: Contract changes

Modification of the articles or of the implementation of this contract is possible only with the elaboration of a prior and written amendment signed by the two parties.

Otherwise, once the contract has been signed, the sale is considered final – no return, no refund and no exchange are permitted.


Article 12: Jurisdiction

The Laws of Montserat shall govern this contract.

As far as possible, Montserrat Red Cross favours out-of-court (amicable) settlement of litigation with the other part of this contract.


When amicable settlement is not possible, arbitration will be made by a qualified arbitrator agreeable to both parties
