This Agreement to Provide Domestic Ordinary Reply Mail Services (hereinafter referred to as “the Agreement”) is made by the above-mentioned Parties (each shall hereinafter individually be referred to as “a Party” and collectively as “the Parties”) in accordance with section 1746 subsection 2 of the Act No. 89/2012 Coll., the Civil Code, as amended (hereinafter referred to as “the Civil Code”).

  1. Purpose and subject-matter of this Agreement

    1. This Agreement is to regulate the terms and conditions, mutual rights and duties of both Parties ensuing from processes used to send and deliver Domestic Ordinary Reply Mail consignments (hereinafter referred to as “reply mail consignment(s)”). Unless it is expressly agreed otherwise in this Agreement, the rights and duties from the postal agreement entered into by posting a consignment follow from the Postal Terms and Conditions for these services valid as of posting date (hereinafter referred to as “the Postal Terms and Conditions”).

    2. The current version of the Postal Terms and Conditions is available at any post office in the Czech Republic as well as on ČP’s website at http://www.ceskaposta.cz/. The User confirms that he made himself acquainted with the content and meaning of the Postal Terms and Conditions, that he received a sufficient explanation of the text of this document, and that he expressly agrees with its wording. Subject to section 6 subsection 3 of the Act No. 29/2000 Coll., on postal services and on amendment to certain related acts, as amended (hereinafter referred to as “the Postal Service Act”), ČP will provide the User with information about changes of the Postal Terms and Conditions including information about the effective date of such changes, at least 30 days before the effective date of such changes, by publishing such information at all post offices in the Czech Republic as well as on the above-mentioned website. The User is obliged to make himself acquainted with the new wording of the Postal Terms and Conditions. Entering into partial postal contracts in matters which are not regulated by this Agreement is governed by the Postal Terms and Conditions valid as of the date of posting.

  2. Basic provisions

    1. The following service will be used for reply mail consignments:

    1. Reply mail consignments will be delivered at (address on the consignment):

    1. Incorporated in this Agreement as its part is a specimen reply mail consignment (or the User’s reply mail consignment’s address side format as specified in Annex No. 2), provided by the User and approved by ČP, which must include the address to which consignments will be delivered, a bold note “ODPOVĚDNÍ ZÁSILKA - CENU HRADÍ ADRESÁT” (“REPLY MAIL - POSTAGE PAID BY THE ADDRESSEE”) or “ODPOVĚDNÍ ZÁSILKA - CENU HRADÍ PŘÍJEMCE” (“REPLY MAIL - POSTAGE PAID BY THE RECIPIENT”) in the upper right-hand corner, and the number of this Agreement to Provide Domestic Ordinary Reply Mail Services. The consignment’s designation also includes Česká pošta, s.p.’s logo and the acronym “OLZ” used by ČP (see the general format in Annex No. 1).

  1. Price and manner of payment

    1. The User agrees to accept all arrived reply mail consignments and pay the price of the services in accordance with the Postal Terms and Conditions of Česká pošta, s.p. - Pricelist of Basic Postal Services and Other Services (hereinafter referred to as "the Pricelist"), current as of posting date of the reply mail consignment. The Pricelist is available at any post office in the Czech Republic as well as on ČP’s website at http://www.ceskaposta.cz/.

The User confirms that he made himself acquainted with the content and meaning of the Pricelist, that he received a sufficient explanation of the text of this document, and that he expressly agrees with its wording. Subject to the Postal Service Act, ČP will provide the User with information about changes of the Postal Terms and Conditions including information about the effective date of such changes, at least 30 days before the effective date of such changes, by publishing such information at all post offices in the Czech Republic as well as on the above-mentioned website. The User is obliged to make himself acquainted with the new wording of the Pricelist.

    1. The price of arrived reply mail consignments will be paid:

    1. ČP will issue an invoice - tax document once a month, with a maturity period of 14 21 days from the date of issue.

The Parties have agreed that invoices - tax documents in the PDF format with attached electronic signature (“electronic invoice”) together with any other annexes required by contract will be sent by electronic means, as attachment to an email message sent from the email address of ČP [email protected]XXXXX to the User’s email address [email protected].XXXXXX

Electronic invoices are considered as delivered on the day when the email message with the attachment containing the electronic invoice is sent from the email address of ČP [email protected]XXXXXX to the User’s email address [email protected].XXXXXXX

    1. If the User defaults on his payment obligations to ČP within 45 days after the due date set in subclause 3.3 above, the reply mail consignments specified in this Agreement will be handed over to the User only if they have been paid by cash in advance.

    2. Uživatel je povinen v předstihu informovat prokazatelným způsobem ČP o jakékoli změně okolností nezbytných pro určení daňového režimu, především určení místa plnění. V případě nesplnění této povinnosti nese Uživatel v plném rozsahu odpovědnost za škody, které v důsledku takového opomenutí mohou vzniknout, a zavazuje se je uhradit.



  1. Other provisions

    1. If consignments identified as reply mail but not complying with the agreed conditions arrive at the destination post office, such consignments will be considered as unpaid and a price will be charged according to the Pricelist.

    1. The Parties agree to immediately inform the other Party in writing about any changes in the contact persons and details mentioned in subclauses 3.4 and 4.2 above. These changes do not require an Amendment to this Agreement to be made in writing.

  1. Closing provisions

    1. This Agreement is made for a definite period of time ended 31.12.2018. Either Party may terminate this Agreement without giving any reason; the term of notice is 1 month and starts running the day next to delivery of the notice to the other Party. If the User refuses by a notice in writing to accept changes of the Pricelist and/or the Postal Terms and Conditions, this Agreement will also be terminated by this notice of refusal of such changes. The period of notice will start running on the day of delivery of the notice to ČP and will end as of the effective date of the changes of the Pricelist and/or the Postal Terms and Conditions. The notice must be delivered to ČP before the effective date of the changes. Notices of termination or of refusal of changes of the Postal Terms and Conditions and/or the Pricelist must be made by the User in writing, the User’s signature attached to them must be legalised or attached before a ČP employee, and they must be delivered to ČP in person, by post, by courier or in another agreed way enabling transportation or transmission and provable delivery. ČP and the User may alsoThe parties agree that notices of termination or ofand refusal of changes of the Pricelist and/or the Postal Terms and Conditions carried out by the User will may be delivered by fax or email with secured electronic signature.

On the termination of this Agreement the User will return back to ČP unused address labels.

    1. ČP reserves the right to withdraw from this Agreement if the User fails to observe the agreed conditions despite warning. ČP will send a notice warning the User to the last known address of the latter and the User will remove the found defects within a 15-day period. Should this period expire in vain, ČP has the right to withdraw from this Agreement.

ČP may also withdraw from this Agreement if an insolvency procedure is started against the User or at any time while it lasts. Both Parties may terminate this Agreement with immediate effect if an insolvency procedure is started against the other Party at any time while it lasts. In such case the User will not be granted an additional 15-day period and ČP will be entitled to withdraw from this Agreement without prior notice.

Any withdrawal from this Agreement takes effect and this Agreement becomes terminated on the day of delivery of the notice of withdrawal served in writing to the other Party.

Mutual performances exchanged between the Parties until the withdrawal shall not be returned, and the User shall pay the price for services provided by ČP until the withdrawal.

Both Parties may terminate this Agreement with immediate effect if an insolvency procedure is started against the other Party at any time while it lasts.

    1. Unless it is specified otherwise, this Agreement may be modified only by amendments to this Agreement, made in writing, numbered in ascending order and signed by both Parties to this Agreement.

    2. Strany Dohody se zavazují zachovat mlčenlivost o obchodním tajemství druhé strany Dohody a dále o skutečnostech a informacích, které písemně označí jako důvěrné. Za obchodní tajemství jsou stranami Dohody považovány veškeré konkurenčně významné, určitelné, ocenitelné a v příslušných obchodních kruzích běžně nedostupné skutečnosti související se stranami Dohody, jejichž vlastník zajišťuje ve svém zájmu odpovídajícím způsobem jejich utajení. Pro účely této Dohody jsou obchodním tajemstvím zejména informace o smluvních vztazích existujících mezi stranami Dohody, údaje týkající se výše ceny a způsobu jejího určení, platební podmínky, informace o způsobu zajištění pohledávek, údaje o rozsahu a objemu poskytovaných služeb a podrobnosti vymezující poskytované plnění nad rámec veřejně přístupných informací.

    3. Povinnost mlčenlivosti trvá až do doby, kdy se informace výše uvedené povahy stanou obecně známými za předpokladu, že se tak nestane porušením povinnosti mlčenlivosti. Na povinnost mlčenlivosti nemá vliv forma sdělení informací (písemně nebo ústně) a jejich podoba (materializované nebo dematerializované).

    4. Strany Dohody se zavazují, že informace výše uvedené povahy zachovají v tajnosti, nesdělí je ani nezpřístupní jiným subjektům, a že učiní potřebná opatření pro jejich ochranu a zamezení úniku včetně zajištění jejich použití pouze pro činnosti související s přípravou a plněním této Dohody v souladu s účelem stanoveným touto Dohodou.

    5. Porušením povinnosti mlčenlivosti není poskytnutí výše uvedených informací soudu, státnímu zastupitelství, příslušnému správnímu orgánu či jinému orgánu veřejné moci na základě a v souladu se zákonem; jejich zveřejnění na základě povinnosti stanovené zákonem nebo jejich poskytnutí zakladateli ČP. Porušením povinnosti mlčenlivosti není ani sdělení uvedených informací zástupci strany Dohody.

    6. Povinnost mlčenlivosti trvá bez ohledu na ukončení smluvního vztahu založeného touto Dohodou.

    7. If any provision of this Agreement is fully or partially invalid or if any matter is not regulated by this Agreement, this does not affect the remaining provisions of this Agreement.

    8. This Agreement is made in 2 (in words: two) counterparts with the force of an original, in the Czech language, each Party shall obtain one counterpart.

An English translation of this Agreement is attached hereto as Annex No. 3.

    1. The rights and duties arising from this Agreement for each Party shall pass onto their legal successors.

    2. The rights and duties arising from this Agreement for each Party shall pass onto their legal successors. Neither Party may assign this Agreement, either wholly or partially, to any third party without the prior written approval of the other Party. Notwithstanding, the Parties hereby consent to any assignments to the affiliate of the respective Party.

    3. Relationships which are not regulated by this Agreement are governed by valid laws of the Czech Republic.

    4. The Parties have agreed that the local court at the place of ČP’s registered office will have the jurisdiction over any disputes.

    5. The User proves the authorisation to sign this Agreement by:

    1. This Agreement is concluded and takes effect on the day of its signature by both Parties.

    2. The Parties declare that this Agreement is an expression of their entire and exclusive mutual agreement in respect of the given subject-matter of this Agreement. The Parties have read this Agreement and declare that it has been made after mutual negotiation, in a certain and clear manner, as their true, seriously meant and free act and deed. In witness whereof the Parties have caused their authorised persons or representatives to sign this Agreement.
