HHA Policy Pertaining to Payments to Board Members


Introduction:


HHA has a long-standing practice of not paying HHA Board Members for services provided to HHA. This practice reduces the potential for conflict of interest situations, eliminates the inherent difficulty and controversy of deciding which services deserve payment and which do not, helps retain our core operational principal of volunteerism, and provides for a more efficient operation of HHA programs. The HHA Board decided at its May 2010 meeting to strengthen this long-standing practice and consider a specific policy prohibiting payments to HHA Board Members for service to HHA. The following policy is proposed for consideration by the HHA Board.


Policy:


Policy Name: Policy Prohibiting Payments to HHA Board Members for Service

“Volunteerism, efficiency and financial integrity are core principals in HHA operations and in support of these core principals HHA prohibits payments to HHA Board members for services rendered to HHA. No HHA Board Member shall request payment for services and the HHA Treasurer shall not make payments to HHA Board Members for services. This policy does not impact the routine reimbursement of HHA Board Members for the procurement of products and services, which were approved by the HHA Board or are routine in the execution of the Board Members’ duties. The only exceptions allowed under this policy are for services rendered to HHA by a Board Member in which: 1) the full HHA Board explicitly approves the payment arrangement, 2) the decision is clearly documented in the HHA Board meeting minutes, and 3) an independent HHA Board Member is designated to oversee the services provided to HHA and must approve the payment request prior to action by the HHA Treasurer.”
