General

Through this Temporary Rights Assignment (hereinafter, the "Assignment"), the "Assignor" itself, which is duly identified herein, requests that, as of the signing of this Assignment, they be assigned each of the rights and obligations specified in the single Annex hereto and derived from the Contract for the Provision of the Public Telephone Service (hereinafter, the "Contract") executed with ___________________________________________________ (hereinafter, the "Licensee"), in favor of the "Assignee", who is also duly identified in this Assignment, jointly identified the Assignor and the Assignee as "The Parties".

This Assignment is conditioned to the result of the credit analysis of the Assignee, as well as the current status and conditions of the Assignor's account. Once the Assignment is authorized by the credit area of ​​the Concessionaire, the Assignee expresses its consent to submit to each and every one of the obligations indicated in the Contract previously signed by the Assignor. In such case, the Assignee shall also be jointly and severally liable with the Assignor for the payment obligations related to any debts contracted prior to the date of this document with the Concessionaire.

In this act, the Assignor assigns to the Assignee the fixed numbers referred to in the single Schedule attached to this Assignment, and the latter accepts and acknowledges that it is subject to the conditions established in the Contract, as well as to the updates in case of exist. The Assignee, in accordance with the provisions of the Contract previously signed by the Assignor, is obliged to grant the latter the guarantees in its case that are required for the authorization of this Assignment.


The Assignee will return the assigned numbers referred to in the single Annex attached to this document at the conclusion of the provision of the service contracted by the Assignor, this Assignment of Rights is temporary, being this term mandatory for the assignee and voluntary for the Assignor.


In case of any dispute that may arise regarding the compliance or interpretation of this instrument, the Parties agree to submit to the Courts of the City of Mexico, Federal District, so they renounce any other jurisdiction that may correspond.
