OPERATIONAL POLICY

PURPOSE:

The purpose of this policy is to define how the Board committees will be established and managed.

GUIDELINES:

The Board may establish sub-committees to help it to carry out its responsibilities and due process (eg. staff appointments, internal audit, and disciplinary matters). All actions and recommendations by the sub-committee are to be brought back to the Board for formal endorsement.

Board committees:

Are to be convened and used sparingly to preserve the Board functioning as a whole when other methods have been deemed inadequate.
May use non-trustees as sources of advice but only trustees can be part of the decision making process.
May not speak or act for the Board.
Assist the Board chiefly by preparing recommendations for Board consideration. Board committees are not to be created by the Board to advise staff.

Board committees are to follow the guidelines in the Education Act 1989 as detailed below

EDUCATION ACT 1989, SECTION 66:

Gives the Board the authority to delegate any of its powers to a special committee of trustees with the exclusion of the power to borrow money.

The Board will provide clear delegated authority to any Board committee in the minutes of the relevant Board meeting. The minutes will record the precise powers that are delegated to a committee of trustees whether the number on that committee is one or several. In addition, the same delegation motion will name the members or and constitution of the committee.

Terms of reference must be approved by the Board for the committee. The Terms of Reference will include:

The objectives and expected deliverables of the committee
A scope on the expected role and work of the committee
The expected term of the committee
The constitution and delegated authority of the committee
Reporting requirements to the Board
Budgets and funding arrangements.

CONCLUSION:

The Board may establish committees within the framework provided by this policy.
